To The Stars Academy of Arts & Science is a public benefit corporation that was established in 2017 as a revolutionary collaboration between academia, industry and pop culture to advance society’s understanding of scientific phenomena and its technological implications.

We are working to achieve our mission via an entertainment, science and aerospace consortium that engages with global citizens to investigate the outer edges of science and unconventional thinking in order to push human knowledge and ultimately, our collective capability forward.

Thanks to the support of the investors from our first offering, we have built a solid foundation for To The Stars Academy of Arts & Science and look forward to accepting new investors on our journey to propel the company’s three divisions forward.

The Company

The Entertainment Division is composed of the company’s wholly-owned subsidiary To The Stars, a brand manager and vertically integrated business that licenses and creates original intellectual property brought to life by award-winning content creators. Spanning film, television, books, music, art, and merchandise, fans find themselves immersed in exciting stories that inspire a new understanding and appreciation for the profound mysteries of our universe. With our unique access to both credible and incredible information by our team of experts, To The Stars is informed storytelling where the line between science and science fiction is blurred.

In alignment with its mission to inspire “a newfound appreciation and understanding of the profound, yet unresolved, mysteries of the universe,” To The Stars Academy of Arts & Science allowed its personnel to be key cast members in a six-part docu-series on A+E’s History Channel, which includes licensed footage from the company’s film archive.

Unidentified: Inside America's UFO Investigation is based on the December 2017 New York Times stunning front-page expose uncovering the Pentagon’s mysterious UFO program, the Advanced Aerospace Threat Identification Program (“AATIP”) featuring an interview with former military intelligence official, Luis Elizondo, who ran the program. The controversial story was the focus of worldwide attention.

Over 1 million people tuned in to each episode in the series that follows Luis Elizondo (Director of Global Security & Special Programs) speaking out for the first time with Tom DeLonge (Co-founder and President) and Chris Mellon (Advisor and former Deputy Assistant Secretary of Defense for Intelligence) to expose a series of startling encounters, fascinating new investigations and bringing this information to powerful National Security policymakers in Congress.

To The Stars Academy of Arts & Science is at the forefront of socializing the UFO conversation through entertainment media in the public and though leveraging the power of our team’s relationships. This topical subject is now being reported on in mainstream media by credible journalists — with classified briefings also occurring for the first time at the highest level of government, including with the President.

The company’s Science Division is a theoretical and experimental laboratory that seeks to challenge conventional thinking and discover the next-generation of physics. We have access to world-renowned scientists with advanced knowledge to pursue the company’s research projects, which include quantum communication technology, the A.D.A.M. (Acquisition & Data Analysis of Materials) Research Project, and THE VAULT (formerly the Community of Interest).

The VAULT (formerly the Community of Interest) is the start of our public-facing database for Unidentified Aerial Phenomena events and is a cornerstone of the company’s mission to advance human knowledge through the collection, exploration and sharing of information.

In December 2017, To The Stars Academy of Arts & Science made history by leveraging its team’s access to become the very first company to obtain official U.S. Government footage of Unidentified Aerial Phenomena that had gone through the declassification process and been approved for public release.

The footage was released on The VAULT where we gave access to information analyzed by our team of experts that educated viewers about the advanced technology depicted in the footage. The information that the company was able to share on its site and within the annotated videos has been viewed over 9 million times.

The company’s Aerospace Division is dedicated to finding revolutionary breakthroughs in propulsion, energy, and communication. We are currently working with lead engineers from major Department of Defense and aerospace companies with the capability to pursue an advanced engineering approach to fundamental aerospace topics like Beamed-Energy Propulsion Launch Systems (“BELS”), Space-Time Metrics Engineering (“STME”), and warp-drive metrics.

Schurman Will Advise The Organization on Artificial Intelligence Initiatives

SAN DIEGO (November 22, 2019) – To The Stars Academy of Arts & Science (TTSA) today announced the appointment of Joe Schurman to its advisory board.

With 25 years of experience, Schurman will provide thought leadership in Cloud-Native Product Engineering Services to focus the company’s strategy and execution of artificial intelligence for its digital product initiatives, including S.C.O.U.T. and The V.A.U.L.T.

The V.A.U.L.T, an acronym for Virtual Analytic UAP Learning Tool, is one of TTSA’s cornerstone programs that will function as the world’s most comprehensive intelligence tool for collecting, analyzing, reporting and establishing data authenticity for unidentified aerial phenomena (UAP) and other subject matter. The V.A.U.L.T.’s mission is to discover signatures and patterns that could shed insight on anomalous advanced technology and capabilities worldwide.

Schurman’s extensive expertise will significantly advance The V.A.U.L.T.’s development and deployment by driving the adoption of new and innovative cloud-based capabilities to leverage the power of AI’s increased computing performance for data analysis. The ability to process and analyze vast volumes of wide-ranging datasets through machine learning, cognitive services, and intelligent analytics are closely tied to TTSA’s overarching scientific and business goals.

"I am honored to join the To The Stars Academy team as an independent advisor," said Schurman. "The organization’s unique and differentiated approach in combination with its innovations in cloud, data and analytics, and AI capabilities through the V.A.U.L.T., represents an incredible opportunity. Our shared objective includes the removal of the noise and stigma typically associated with the topic of UAPs by establishing a truly authentic and reliable data and analytics platform, including the ability to detect fake media. Based on these capabilities, we will be able to discover the meaning and motive by finding correlations and relationships to past and corresponding events with the use of predictive analytics. This project and its outcomes will be game-changing, producing findings applicable for research and development across multiple industries."

Prior to joining the TTSA advisory board, Schurman’s advisory efforts have been directed towards industry-leading, global, and public sector organizations through PricewaterhouseCoopers (PwC), Slalom, Microsoft Research, Accenture, IBM and Hewlett Packard. A Defining Moment in History

Friday September 20th, 2019

There have been many defining moments in history. For the most part, we recognize them in retrospect when we can look back and see the entire picture to identify the tipping point. Occasionally, we are lucky enough to see them as they are happening.

At To The Stars Academy, we believe one of those electrifying moments is the recent statement by the U.S. Navy that footage captured onboard their elite fighter-jets was deemed “unidentified aerial phenomena.” Whether you prefer the academic inference of the term “UAP” or the legacy of the struggle for truth in the designation of “UFO,” we can all take a moment to consider the weight of this statement.

For decades, highly trained servicemen and women have been nearly silent when it comes to the extraordinary events they have experienced, alongside countless people around the world with similar stories. We are sensitive to the challenges such an announcement introduces to the Navy and applaud this action, which, when combined with their previous change in reporting procedures for UAPs, fundamentally changes the environment for this conversation.

There is now a path forward for To The Stars Academy to focus on research with more comprehensive and superior data that will, for the first time, allow for an extremely dynamic scientific investigation. We have been working tirelessly with multiple offices within Washington, D.C. to move the subject of UAPs beyond stigma, past curiosity, through acceptance and into a determined examination.

Evidence of our actions has been captured on the first season of HISTORY’s docu-series Unidentified: Inside America's UFO Investigation, that will now see a second season. Confirmation of our successes can be seen in the paradigm-shift of mainstream media reporting and in the verification that government leaders are openly engaged and demanding answers.

We are in a time when indisputable facts are edging-out unsubstantiated, speculative claims that have masked and muddied the reality of UAPs for over 70 years. With patience, we must remind ourselves that this is only the first step towards answering one of the greatest mysteries of the millennia.

To The Stars Academy is energized and laser-focused on our continued mission, and we hope you continue to follow and support us on this incredible journey.

Sincerely,
The TTSA Team

The database will be able to ingest various formats, languages, and data sources ranging from civilian, industry, academia, law enforcement, the United States Government, and other sovereign entities. This also includes data sets from aviation authorities, climatic data, sonar, and other like-sources.

The VAULT will utilize artificial intelligence and machine learning to triage and partition large amounts of information in order to discover signatures and patterns that could shed additional insight on the phenomenon. Initially introduced as TTSA’s online Community of Interest, The VAULT will be a cornerstone of the company’s mission to advance human knowledge through collection, exploration, and sharing of information about the advanced technologies and physics associated with UAPs. As the database expands and TTSA’s proprietary algorithms progress, the company is focused not only on the opportunity for learning and understanding, but also the commercial viability of having access to data on this scale.

“This is a first-of-its-kind capability that will enable both governments and global citizens to better understand the phenomena and move forward towards solving what many consider to be the greatest mystery in human history,” says Lue Elizondo, TTSA Director of Special Programs. “Perhaps, it may even lead to our ability to understand ourselves and our place in the cosmos.”

To further expand the scope of TTSA’s effort, The VAULT will include an interactive public interface that will facilitate real-time uploads, downloads, alerting, and analysis. The downloadable mobile application will be called SCOUT, an acronym for the Signature Collection of UAPs Tracker. Data obtained by SCOUT will enable real-time, global collaboration that will contribute vital information to The VAULT.

To jumpstart the project, TTSA acquired an existing application to serve as the interactive collection module. Formerly called Project Capture, the company has been working the last few months to enhance, upgrade, and incorporate the module into the platform. Great progress has been made in the initial development of SCOUT, and the beta iOS version has been completed. Work is currently underway to finalize the Android and web versions.

TTSA also plans to use SCOUT to publish compelling information related to The VAULT, including documents analyzed by TTSA’s world-class team of experts, podcasts, and interviews.

The company anticipates the beta version of the app to be released on both iOS and Android before the end of 2019. Those who wish to be notified of the release can sign up to TTSA’s newsletter.

TO THE STARS ACADEMY OF ARTS & SCIENCE MAKES GROUNDBREAKING METAMATERIALS ACQUISITION

TTSA TAKES CONTROVERSIAL ADAM RESEARCH PROJECT TO NEXT LEVEL

R&D ACCELERATES ON POTENTIALLY EXOTIC MATERIAL FEATURING PROPERTIES NOT FROM ANY KNOWN EXISTING MILITARY OR COMMERCIAL APPLICATION

San Diego, CA (July 25, 2019) - To The Stars Academy of Arts & Science (TTSA) has acquired multiple pieces of metamaterials and an archive of initial analysis and research for their controversial ADAM Research Project. ADAM, an acronym for Acquisition and Data Analysis of Materials, is an academic research program focused on the exploitation of exotic materials for technological innovation.

The ownership of these assets, which were previously retained and studied by investigative journalist Linda Moulton Howe and are reported to have come from an advanced aerospace vehicle of unknown origin, allows TTSA to conduct rigorous scientific evaluations to determine its function and possible applications.

“The structure and composition of these materials are not from any known existing military or commercial application,” says Steve Justice, current COO of To The Stars Academy and former head of Advanced Systems at Lockheed Martin's "Skunk Works." “They've been collected from sources with varying levels of chain-of-custody documentation, so we are focusing on verifiable facts and working to develop independent scientific proof of the materials' properties and attributes. In some cases, the manufacturing technology required to fabricate the material is only now becoming available, but the material has been in documented possession since the mid-1990's. We currently have multiple material samples being analyzed by contracted laboratories and have plans to extend the scope of this study.” TTSA will also seek to engage the potential partners who have expressed interest in helping accelerate ADAM research and development.

“If the claims associated with these assets can be validated and substantiated, then we can initiate work to transition them from being a technology to commercial and military capabilities,” adds Justice. “As noted in our October 2017 TTSA kickoff webcast, technologies that would allow us to engineer the spacetime metric would bring capabilities that would fundamentally alter civilization, with revolutionary changes to transportation, communication, and computation.”

A Public Benefit Corporation, To The Stars Academy of Arts & Science is a consortium of scientists, aerospace engineers, and creatives working collectively to empower gifted researchers the freedom to explore exotic science and technologies with the support to rapidly transition innovative ideas into world-changing products and services.

FAQ

About TTS Academy:

HOW IS TTSA DIFFERENT FROM OTHER COMPANIES OF ITS KIND?
There are no other companies like TTSA. There are other smaller independent research companies investigating similar technologies. However, we believe TTSA is the first and only public benefit corporation (PBC) to have a focused effort for data collection and study of exotic technologies, the ability to apply those technologies to create products with revolutionary capabilities and to share the story of that journey through an entertainment division. What also sets us apart is the collection of top leadership talent from the government, aerospace and entertainment industries which brings unprecedented credibility to each of the operating divisions.

WHAT DO YOU UNDERSTAND ABOUT YOUR BUSINESS THAT OTHERS MAY NOT GET?
As with any revolutionary concept – be it a business or technology – there is a large population that believes it cannot be done. Realizing that the impossible is only something that hasn’t been seen before is the first step. The TTSA team believes that, despite the rapid advance of technology in our world today, there are undiscovered breakthroughs in physics which can fundamentally advance humanity. TTSA has been specifically structured to find clues to those technologies and transition them to products that improve our world.

WHAT IS YOUR BIGGEST RISK?
Funding. A quote from the film The Right Stuff is truly relevant: “No bucks, no Buck Rogers.” Funding is one of the enablers of innovation. TTSA has assembled the other critical enablers: innovation-driven leadership and a company structured to allow that innovation spirit to flourish.

WHAT HAS BEEN YOUR BIGGEST OBSTACLE SO FAR? HOW DID YOU OVERCOME IT?
Our largest obstacle to date has been presenting the concept of TTSA in a way that separates it from the doubters and “profiling” that arises when one speaks of non-mainstream subjects such as the study of UAP technologies. Until now, proof of official government interest has been only speculation. Through years of groundwork, discussions, and presentations, we have been successful in drawing interest from unexpected organizations. The uptick in mainstream media coverage on the topic documenting such progress as classified briefings at the highest levels of the US Government as well as the US Navy drafting new guidelines for reporting UAP is proof of the effective credibility we have established.

WHAT DO YOU TELL PEOPLE WHO ARE SKEPTICAL OF YOUR CHANCES OF SUCCESS?
For those that are skeptical, we ask that you allow us to share our journey with you. TTSA is structured to educate, inform, and entertain. Watch us. Do your own investigation. Challenge us with what you find. If you do that, we are certain that you will begin to understand our mission and our purpose to bring #profoundpossiblities to reality.

About The Invest Now Process:

WHAT IS EQUITY CROWDFUNDING?
In March 2015, the Securities and Exchange Commission (SEC) released final Regulation A+ rules under Title IV of the JOBS Act, paving the way for companies like TTSA to raise capital from both accredited and non-accredited investors.

WHAT ARE THE RISKS OF EARLY-STAGE INVESTING?
Because Regulation A+ allows early stage investing by non-accredited investors, the SEC put limits in place to protect the general public from investing more than they can afford to lose in early-stage companies. However, investing in start-up and early-stage companies is risky due to the nature of these types of entities and the long horizon of the investment type. Please review the Offering Circular for a complete discussion of the risks before investing.

CAN I INVEST IF I’M NOT AN ACCREDITED INVESTOR?
Yes! You can invest without being an accredited investor, but you do have a limit of no more than ten percent (10%) of the greater of your annual income or net worth. Different rules apply to accredited investors and non-natural persons. Before making any representation that your investment does not exceed applicable thresholds, we encourage you to review Rule 251(d)(2)(i)(C) of Regulation A. For general information on investing, we encourage you to refer to www.investor.gov or consult your financial advisor.

WHAT ARE THE TAX IMPLICATIONS OF AN EQUITY CROWDFUNDING INVESTMENT?
We cannot give tax advice, and we encourage you to talk with your accountant or tax advisor before making an investment.

CAN I GET A PROSPECTUS?
In a Regulation A offering, the offering document, or prospectus, is known as the "Offering Circular". You can access ours on this website's side menu.

HOW IS THE VALUATION DETERMINED?
See the Offering Circular for more details on our valuation method.

TTSA Stockholders:

We encourage TTSA Stockholders to visit our Investor Resource Center at: https://www.ir.tothestarsacademy.com as a home base for all information and FAQ's relating to your investment.

I'M ALREADY AN INVESTOR - HOW DO I PURCHASE MORE STOCK?
All investment transactions must be completed through the 'Invest Now' process on TTSA’s website, even if you are an existing stockholder or investor. Each investment transaction must be for at least the minimum amount. Your investments will be processed separately, but recorded under one account with Computershare, the company that maintains TTSA’s stock ownership ledger.

WHAT HAPPENS AFTER INVESTING?
After you complete the 'Invest Now' process and send funds, your funds will be held in escrow (meaning we can't access it) until we conduct a “Closing” (we do this approximately once a month). Once your investment funds are part of a Closing, you will receive an email from us with your Subscription Agreement followed by letter mailed to your address from our transfer agent, Computershare. This letter will include an account statement, which is the official record of your ownership in the company.

WILL I RECEIVE A STOCK CERTIFICATE IN THE MAIL?
All securities are held in book entity form (there will not be a paper confirmation or stock certificate mailed to you). A letter will be mailed to your physical address from our transfer agent Computershare, including an official account statement documenting your securities. Thank you for supporting our decision to avoid the environmental impact of printing and shipping share certificates.

I NEVER RECEIVED MY COMPUTERSHARE LETTER:
If you do not receive your letter within 4 weeks (6 weeks International) after we send you an email notifying you that your investment has become official, please reach out to us at investorrelations@tothestarsacademy.com.

WHEN WILL I RECEIVE UPDATES?
The best way to stay current is to visit our website and sign up for our mailing list to make sure you don’t miss any important announcements. You can also follow our social media accounts Twitter - Facebook - Instagram. If you are a stockholder, To The Stars Academy will periodically send updates directly to you and will also discuss company affairs at its Annual Meeting. As a Reg A company, TTSA also files publicly-available reports to the SEC twice a year.

WHAT IS THE $15 TRANSACTION FEE & WHY HAS THE MINIMUM RAISED?
One of the priorities for TTSA in this new offering is to find ways to operate more efficiently by reducing per-transaction investment fees. In order to ensure the maximum amount of your investment dollars go to programming and project initiatives, we are raising the minimum investment amount to $350 and adding a $15 transaction fee to offset a portion of the FundAmerica/PrimeTrust fees. All investment transactions include a non-refundable $15 transaction fee regardless of cancelation.

I NEED TO UPDATE MY ADDRESS/EMAIL/PHONE NUMBER:
Log into your Computershare profile and update your information in their Investor Center. Visit https://www.ir.tothestarsacademy.com for more details on how to set up your Computershare account.

HOW CAN I SELL OR TRANSFER SHARES? HOW LONG UNTIL I SEE A RETURN?
We are a privately held company, and our shares are not traded on a public stock exchange. As a result, the shares cannot be easily traded or sold. As an investor in a private company, you typically receive a return on your investment under the following two scenarios:

• The company gets acquired by another company.
• The company goes public (undergoes an initial public offering on the NASDAQ, NYSE, or another exchange).

In those instances, you receive your pro-rata share of the distributions that occur.
